Effective Date

These Terms & Conditions (“Agreement”) govern participation in the Vinton Poker Affiliate Program (“Program”). By applying for and participating in the Program, you agree to be bound by this Agreement.

1. Eligibility

• You must be at least 18 years old.
• You must own or operate a legitimate traffic source (website, email list, social media channel, or community).
• You must be a paying customer of at least one Vinton Poker product.
• Participation is subject to approval by Vinton Poker. We may accept or reject applications at our sole discretion.

2. Enrollment & Tracking

• Affiliates must apply and be approved through Refersion (our affiliate platform).
• Once approved, you will receive access to Refersion, including unique tracking links, assets, and reporting.
• You must use your assigned Refersion tracking link(s) for all promotions. Sales not tracked through Refersion will not be credited.
• You may not cloak, mask, or alter tracking links.

3. Commissions & Payouts

• Commission rates are defined in your Refersion dashboard.
• Two commission structures are available:
  • Track 1 (Traffic Driver): $50 flat per eligible sale.
  • Track 2 (Whale Hunter): 25% of the net sale amount.
• You may participate in one track at a time; switching tracks requires approval.
• Payouts are processed monthly via Refersion’s supported methods. Minimum payout threshold: $100 USD (balances roll over until met).
• Commissions are subject to reversal for refunds, chargebacks, or fraudulent transactions.

4. Promotional Guidelines

• Prohibited Traffic: No spam, incentivized clicks, forced traffic, or bots.
• Paid Search Restrictions: No bidding on “Vinton Poker,” “LeakHunter,” “Delusion Killer,” or other branded terms; no typo-squatting or URL hijacking.
• Email Marketing: You must have consent and comply with CAN-SPAM; clearly identify yourself as the sender.
• FTC Compliance: You must disclose your affiliate relationship in all promotions. Example: “As an affiliate, I may earn commissions from qualifying purchases.”
• Misrepresentation: No misleading claims, false guarantees, unapproved discounts, or altered offers.
• Link Placement: Affiliate links may not appear on coupon/deal aggregators, adult content, hate speech, or illegal websites.

5. Intellectual Property

• You may use Vinton Poker logos, banners, and promotional materials provided in Refersion.
• You may not modify or create derivative works without written approval.
• You may not represent yourself as Vinton Poker or imply employment or agency.

6. Term & Termination

• This Agreement begins upon acceptance into the Program and continues until terminated.
• Vinton Poker may terminate this Agreement at any time, with or without cause.
• Upon termination, you must immediately remove all affiliate links and materials.
• Commissions may be forfeited in cases of fraud, abuse, or violation of these terms.

7. Liability & Indemnification

• Vinton Poker is not liable for indirect, incidental, or consequential damages (including lost profits or data) arising out of Program participation.
• You agree to indemnify and hold harmless Vinton Poker and its officers, employees, and agents from claims arising from your promotions or breach of this Agreement.

8. Relationship of Parties

• You are an independent contractor. Nothing herein creates a partnership, joint venture, franchise, or employer-employee relationship.
• You have no authority to bind Vinton Poker or make offers on its behalf.

9. Compliance & Modifications

• You must comply with all applicable laws, including tax reporting. U.S. affiliates may be required to submit a W-9.
• Vinton Poker may modify these Terms or commission structures at any time; updates will be communicated via email or in your Refersion dashboard. Continued participation constitutes acceptance.

10. Governing Law

This Agreement shall be governed by and construed under the laws of the State of North Carolina, United States, without regard to conflict of law principles.
